i have made a MySQL database called XOOPS and a user with full permissions.
but i dont know where to upload the files to.
plez help.

To the webserver! What server do you use? Do you have Apache installed? On what operating system?

we have apache(unix(1.3.29) and it is running Linux.
the thing is i dont now where about in my webspace i am to install it to(public_html?)

Yes, upload all the files in the HTML folder of the XOOPS package to the public_html folder on your webserver
