Ok, one question first: Why do you want to go for newbb 2.02 and not cbb (3.05 at the moment) which is its successor?

Tables have been changed so without running the update script you will have no luck.

Lets have a look at the folders ...
There is a folder called
\newbb\update and it includes the file
newbb1_to_newbb2.php.

Yep we should be good to go
So delete the old newbb files. Upload the new ones. In your browser use
[size=x-small]http://www.yoursitesurl.xxx/modules/newbb/update/newbb2rc1_to_newbb2.php[/size].
Then continue with updating the module itself in modules admin as in step 3. Do the rest and you should be good to go.
