Our webhost will perform an upgrade to a new server with PHP 5.1 and mySQL 5.

Will everything still work?

Can't say with 100% certainty, but all should work OK. I currently run MySQL 5 but with php 4 the mod dev site on XOOPS runs on MySQL 5 and php 5, so should be no problems with the core, cannot vouch for some of the older modules though.
