What version did you update from? What PHP version do you have?
Did you follow all the upgrade steps? How did you do it?

You should also run a file check to make sure that you have all the correct files. To do so, copy both files that are in the distribution:
checksum.php
checksum.md5
to you XOOPS directory, and then run the checksum.php
This will tell you if you have all the right files.
